SEBI is a governing body of all security instruments that all stock promoters, MF AMC and debt companies should listen to . SEBI lays down the rules which are valid or invalid.

for example recently SEBI decided to exchange the trading hours from 10 to 5 to 9 to 5. these are guidelines and the exchange and other stakeholders will take the request forward.

this is nominated by the Govertment so it also reflects govt policies
