What Is a Corporate Records Book?
Keep your essential corporate documents in a records book and make sure it's maintained at the corporate office.
A corporate records book is the place to keep important corporate papers all in one place, including Articles of Incorporation, Bylaws, meeting minutes, stock certificate ledger, stock certificates, stock certificate stubs, and stock transfer documents. The corporate records book should be maintained at the principal office of your corporation.
It can be beneficial to purchase a "corporate kit" from one of several companies, although most office supply stores carry the items included in a corporate kit. A corporate kit generally includes a corporate records binder (either with or without embossed corporate name); customized stock certificates; index dividers for Articles of Incorporation, Bylaws, minutes, stock certificates, etc.; share register; stock transfer ledger (see What Is the Stock Ledger of a Corporation?); corporate seal; and instructions for use.
Two service companies that carry corporate kits are The Company Corporation; (888) 811-0111 (toll free); 302-636-5454 (fax); www. incorporate.com, and Business Filings Incorporated (BFI), (800) 981-7183 or (608) 827-5300; www. bizfilings.com. The price for corporate kits varies from company to company and may depend upon whether you purchase the basic kit or the deluxe version.
