What and how much is involved in incorporating a business name?

My friends are in the process of starting a biz, but we need to incorporate the name before we get too far into this.

It's actually a fairly simple process. You have to do a search for the name you want to make sure it isn't already active by someone else. You can do this search on the online database of your state's Department of Corporations (for example, Florida is www.sunbiz.org). If it isn't in use, you most likely will file Articles of Incorporation. This is a very brief outline of what you intend to do as a Corporation and how many shares of stock you will create, who the officers are, etc. Along with this comes filing fees, and these can be a couple hundred dollars depending on the state. A simpler way to just have an official name is to file for a Fictitious Name. It's cheaper and will allow the owner to operate business under that name. Check your state's web site for specific information.
