due dilligence: that is exactly what it says. a party has followed up on the details. to buy a business( lets say a store) of course youre buying the inventory and equpment. but....will the zonning for the building remain commercial? what are the stores daily receipts as they are now? (thats called "goodwill" .) so : yes it holds in court, and it should be signed by both parties in the transaction. sounds like youre looking to buy or sell..GL
