Get a lawyer. Spend a bit of money now to save you a ton of money later plus all sorts of headaches. If you draft the agreement without understanding the law then it is possible that you include terms in there that are not allowed by law which will give one or more parties a way to nullify the contract later on. Also, you want someone who is experienced with contracts who might understand some of the common pitfalls that partners will run into. Spend some money and have a lawyer draft your agreement (with your and your partner's input of course).
