Is is possible to force the board of directors of a non-profit organisation to resign?

The board of directors of a non-profit organisation based in Quebec has lost most of its volunteers and employees. Although some of its members have asked, in writing, for a special meeting to be called the president refused. Is their any recourse? The system of accounting has been changed from an assured Simply Accounting to an easily manipulated excel program and half of the organisation's savings have been spent. The lack of respect and appreciation for the volunteers has forced people with between 10 and 30 years of irreplacebale experience to withdraw their support. The general annual meeting is coming up but only 2/5 positions are up for election and there are few people willing to work with the 3 administrators not up for election. Are the members forced to keep a board of administrators whose ethics & administrative conduct are in serious doubt? Legally, without an examination and/or interpretation of the administrative files, I believe there is no recourse. Any ideas?

You are probably stuck. Check out the Articles of Incorporation, and the By-Laws (particularly the latter) to see what can be done. Specifically, look at procedures for convening a meeting of the Board of Directors. Directors have a fiduciary duty, which in the US would ultimately be enforced by the State Attorney General; I would suppose that the Canada rules are similar, but it may require a solicitor to be sure.

Maybe if you use the media ( local Newspaper or Radio ) etc. You could build support, and attention to your issues. Although it could get personal, for all concerned ? Best of luck !
